Terms of Service

1. About SpendWay

SpendWay is a personal expense management platform operated by Spendway Pvt Ltd, a company incorporated in Sri Lanka. The Service helps individuals track, categorise, and analyse their spending. It allows you to manually input transactions, upload bank statements, and generate AI-assisted expense reports.

SpendWay is an independent software service. It is not a bank, financial institution, or licensed financial services provider, and is not affiliated with, endorsed by, or operated in partnership with any bank or financial institution. Any bank or financial institution names, logos, or trademarks that appear within SpendWay are used solely as visual reference aids to help users identify and organise their own accounts. Such use does not imply any affiliation, partnership, sponsorship, or endorsement by any bank or financial institution.

2. Eligibility

You must be at least 18 years of age to use SpendWay. By using the Service, you represent and warrant that:

• You are at least 18 years old;
• You have the legal capacity to enter into these Terms under the laws of Sri Lanka or your country of residence;
• Your use of the Service does not violate any applicable law or regulation.

3. Your Account

3.1 Registration

To access most features of SpendWay, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to:

• Use a strong, unique password;
• Not share your credentials with any third party;
• Notify us immediately at support@spendway.lk if you suspect unauthorised access to your account.

SpendWay will not be liable for any loss or damage arising from unauthorised use of your account where you have failed to keep your credentials secure.

3.3 Account Types

SpendWay supports multiple account types (i.e. cash, investment, savings, credit card, or loan). You may set and modify your account type at any time. The account type label is used solely to help you organise and categorise your financial data within the platform. SpendWay does not connect to, access, or operate any actual bank or financial account on your behalf.

4. Permitted Use

You agree to use SpendWay only for lawful, personal, non-commercial expense management purposes. You must not:

• Use the Service to upload fraudulent, false, or misleading financial data;
• Attempt to reverse engineer, copy, or extract any part of the Service;
• Use automated tools, bots, or scripts to access or scrape the Service;
• Circumvent any security or authentication measures;
• Use the Service in any way that could damage, disable, or impair its operation.

5. Transactions and Financial Data

5.1 Manual Entry and Statement Import

You may enter transactions manually or upload bank or financial statements for automated extraction. You are solely responsible for the accuracy of data you input or upload.

5.2 Statement Extraction

When you upload a bank statement or similar document, you are first presented with document preparation tools to configure redaction areas, page rotation, and page exclusion. Once submitted, SpendWay applies your configuration on our secure systems, extracts text from the processed pages, and passes only that extracted text to our AI service to identify and structure transaction data. The AI returns a list of transactions. No raw document content is transmitted to the AI.

5.3 Document Preparation Tools and Your Responsibility

Before submitting a document, SpendWay provides the following tools to prepare it:

• Redaction: mark areas to be permanently blacked out;
• Page rotation: adjust page orientation as needed;
• Page exclusion: remove pages you do not wish to include.

It is your sole responsibility to correctly identify and mark all content you wish to redact or exclude before submitting. SpendWay applies your configuration as specified. We accept no liability for any content that you did not mark for redaction or exclusion. By proceeding with an upload, you confirm that you have reviewed your configuration and are satisfied that any information you wish to keep private has been appropriately handled.

5.4 SMS Transaction Sync

SpendWay offers an optional SMS sync feature that, when enabled by you, monitors incoming SMS messages to automatically identify and import transactions. This feature:

• Is opt-in only and can be enabled or disabled at any time in your settings;
• Only processes SMS messages that match the known transaction alert patterns of banks SpendWay currently supports. All other messages, including those from unsupported senders and any personal or unrecognised SMS, are completely ignored without their contents being read or stored;
• Uses pattern-based matching to extract transaction details (amount, description, and date/time) from qualifying messages. This is an automated process and is not infallible, so messages that deviate from expected patterns may result in missed, duplicated, or incorrectly parsed transactions.

It is your sole responsibility to review all SMS-synced transactions for accuracy and to correct any errors. Spendway Pvt Ltd accepts no liability for any loss, decision, or consequence arising from inaccuracies in transactions imported via SMS sync.

5.5 Accuracy of Extracted Transactions

Statement extraction is an automated process and may not always produce accurate results. Transactions may be incorrectly identified, duplicated, missed, or have fields (such as description, amount, or date) extracted with errors. It is your sole responsibility to review all extracted transactions and correct any inaccuracies before relying on the data. Spendway Pvt Ltd accepts no liability for any loss, decision, or consequence arising from errors in automatically extracted transaction data.

5.6 Your Data Remains Yours

The following data you provide to SpendWay remains entirely yours. Spendway Pvt Ltd does not claim ownership of it and will not use it for any purpose beyond providing the Service to you:

Profile:

• First name and last name;
• Email address.

Account details (per account):

• Account name;
• Account type (created and maintained by you);
• Interest rate (user-entered for reference only);
• Opening date, closing date, statement date, and payment date.

Transactions (per transaction):

• Description;
• Amount;
• Date and time;
• Category (e.g. debit or credit; initially suggested by the system but owned and maintained by you);
• Tags (user-controlled labels; auto-tagged by default but you may add, edit, or remove tags at any time).

No other data fields beyond those listed above are asserted as user-owned.

6. AI-Assisted Features

6.1 Expense Reports

SpendWay uses AI to help you generate expense summaries and reports. When generating a report, the following information, and only the following information, is shared with the AI service:

• accountId: an internal database identifier assigned by SpendWay;
• accountType: the account type label as created and set by you;
• Transaction data (array): description, tags, category, amount, and date/time.

No other account or personal information is transmitted. Names, email addresses, bank details, contact information, and all other account fields are excluded entirely.

6.2 AI Limitations and No Financial Advice

AI-generated reports, summaries, and insights are provided for general reference and informational purposes only. They represent a broad generalisation or overview of your entered data and are not and shall not be construed as financial, legal, tax, investment, or any other form of professional advice.

SpendWay is not a financial institution, financial adviser, or licensed financial services provider. It is not regulated by the Central Bank of Sri Lanka or any other financial regulatory authority. If you require financial advice, you should consult a qualified financial professional. Spendway Pvt Ltd accepts no liability for any financial decision, loss, or consequence arising from the use of or reliance on any AI-generated output, report, or suggestion within the platform.

7. No Bank Affiliation

SpendWay is an independent expense management tool. It is not affiliated with, connected to, or endorsed by any bank, financial institution, or payment service. Any bank names, logos, or branding that may appear within the platform are used only as identifiers to help users recognise and label their own self-entered accounts. Spendway Pvt Ltd makes no claim of affiliation or partnership with any such institution, and users should not interpret any such display as indicating otherwise.

8. Intellectual Property

The SpendWay name, logo, platform design, software, and all content created by Spendway Pvt Ltd are owned by or licensed to Spendway Pvt Ltd and are protected under the Intellectual Property Act No. 36 of 2003 of Sri Lanka and applicable international intellectual property laws.

You are granted a limited, non-exclusive, non-transferable licence to use the Service for your personal use only. You retain full ownership of all data and content you upload or input into SpendWay.

9. Third-Party Services

SpendWay may use third-party service providers (including AI services) to deliver parts of the platform. These providers are contractually obligated to handle data only as directed by SpendWay and in accordance with our Privacy Policy. We do not sell your data to third parties.

10. Data Breach Notification

10.1 SpendWay's Obligations

In the event of a data breach that affects your personal data, Spendway Pvt Ltd will:

• Take immediate steps to contain and assess the breach;
• Notify affected users promptly once the nature and scope of the breach has been determined, and no later than is reasonably practicable;
• Report the breach to the Sri Lanka Data Protection Authority and any other relevant authorities as required by applicable law;
• Provide full cooperation and all necessary assistance to any regulatory authority or law enforcement body investigating the breach;
• Keep affected users informed of the steps being taken and any actions they should take to protect themselves.

10.2 Your Obligation to Report

If you become aware of, or suspect, any unauthorised access to your SpendWay account or any potential compromise of your credentials, you must notify us immediately at security@spendway.lk. Prompt reporting allows us to act quickly to limit any potential impact.

This inbox is monitored exclusively for security and data breach-related reports. SpendWay is not obligated to respond to non-security matters sent to it. General support enquiries should be directed to support@spendway.lk, and data privacy requests to privacy@spendway.lk.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. SPENDWAY PVT LTD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF SRI LANKA, WE DISCLAIM ALL WARRANTIES, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF SRI LANKA, SPENDWAY PVT LTD AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid to SpendWay in the twelve (12) months preceding the claim, or LKR 10,000, whichever is greater.

13. Termination

You may delete your account at any time through your account settings. Upon deletion, your data will be handled in accordance with our Privacy Policy.

We may suspend or terminate your account if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We will provide reasonable notice where possible.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by displaying a prominent notice in the app prior to the changes taking effect. Continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
